These Terms of Service ("Terms") govern your use of the FillCare website (fillcare.com.au) and services provided by Meem International (ABN: 56 602 689 001), trading as FillCare Australia ("we", "us", "our").

By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services Overview

FillCare provides the following services:

For Candidates (Nursing Graduates)

• Job matching with Australian aged care employers
• Referrals to MARA-registered migration agents for visa assistance
• Interview preparation and career guidance
• OSCE preparation resources and coaching referrals
• Settlement support information

For Employers (Aged Care Facilities)

• Access to pre-vetted qualified nurses
• Labour agreement (ACILA) setup facilitation
• Union MoU coordination
• Visa nomination support
• Ongoing compliance guidance

2. Eligibility

To use our services, you must:

• Be at least 18 years of age
• Provide accurate and truthful information
• For candidates: Hold a nursing qualification from a recognized institution
• For employers: Be a legitimate Australian business with an ABN

3. User Accounts

When you create an account on our platform:

• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use
• We may suspend or terminate accounts that violate these Terms

4. Fees and Payment

For Candidates

Candidates may be charged a service fee upon successful job placement. Fee details are disclosed before any commitment. Government fees (visa application, skills assessment) are separate and paid directly to relevant authorities.

For Employers

• Labour Agreement Setup: FREE (we absorb this cost)
• Placement Fees: Charged as a percentage of first-year salary upon successful placement
• Government Fees: Nomination fees and SAF levies are payable directly to the Department of Home Affairs

All fees are exclusive of GST unless otherwise stated. Payment terms are outlined in individual service agreements.

5. Candidate Responsibilities

As a candidate, you agree to:

• Provide accurate information about your qualifications, experience, and background
• Not misrepresent your credentials or work history
• Respond promptly to employer inquiries and interview requests
• Honor job offers you have accepted in good faith
• Comply with Australian immigration laws and visa conditions
• Not bypass FillCare to negotiate directly with employers introduced to you

6. Employer Responsibilities

As an employer, you agree to:

• Provide accurate information about job positions and workplace conditions
• Comply with all Australian employment laws, including the Fair Work Act
• Meet visa sponsorship obligations as required by the Department of Home Affairs
• Pay agreed fees within specified payment terms
• Not bypass FillCare to recruit candidates introduced to you
• Provide safe working conditions for sponsored workers

8. No Guarantee of Outcomes

FillCare does not guarantee:

• Job placement for candidates
• Visa approval (visa decisions are made solely by the Department of Home Affairs)
• Specific salary or working conditions
• OSCE or exam success
• Permanent residency outcomes

We facilitate connections and provide support, but outcomes depend on many factors beyond our control.

9. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of FillCare or its licensors and is protected by copyright and intellectual property laws.

You may not reproduce, distribute, or create derivative works from our content without written permission.

10. Privacy

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

11. Limitation of Liability

To the maximum extent permitted by law:

• FillCare is not liable for any indirect, incidental, special, or consequential damages
• Our total liability for any claim arising from these Terms or our services is limited to the fees paid to us in the 12 months preceding the claim
• We are not liable for actions or omissions of employers, migration agents, or other third parties

12. Indemnification

You agree to indemnify and hold harmless FillCare, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your breach of these Terms
• Your violation of any law or third-party rights
• False information you provide

13. Termination

We may terminate or suspend your access to our services at any time, without prior notice, for:

• Violation of these Terms
• Providing false information
• Fraudulent or illegal activity
• Any other reason at our discretion

14. Governing Law

These Terms are governed by the laws of Australia. Any disputes will be resolved in the courts of Australia.

15. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the new Terms. We will notify you of significant changes via email or website notice.

17. Severability
